Pingo — Terms of Service

Welcome to Pingo. Pingo is a free daily board game for sports fans. Players build a 4×4 game board by picking player performances ("tiles") through a card-style picking game, arrange those tiles on the board, and complete lines ("Pingos") as real games play out. These Terms of Service ("Terms") govern your access to and use of the Pingo website, mobile applications, and related services (collectively, the "Services").
When we say "Pingo," "we," "us," or "our," we mean Pingo Entertainment, Inc, a Delaware corporation, together with its affiliates. When we say "you" or "User," we mean the individual agreeing to these Terms. Our Privacy Policy and our Rules are incorporated into these Terms by reference. By accepting these Terms you also agree to those documents.
1. Acceptance of Terms
By creating an account, accessing or using the Services, or clicking to accept these Terms, you (a) confirm you have read and understood these Terms; (b) represent that you meet the eligibility requirements in Section 4; (c) agree to be bound by these Terms, the Privacy Policy, and the Rules; and (d) agree, subject to your right to opt out under Section 14.4, to resolve disputes through binding individual arbitration. If you do not agree, do not use the Services.
2. Changes to These Terms
We may modify these Terms, the Rules, or the Privacy Policy at any time. The current version will always be available within the Services, and each is version- and date-stamped. Changes are effective when posted. Your continued use of the Services after a change takes effect means you accept the revised Terms. It is your responsibility to review the Terms periodically. We will use commercially reasonable efforts to notify active Users of material changes.
3. License; Reservation of Rights
Subject to these Terms, Pingo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You may not (a) use the Services for any commercial purpose; (b) copy, modify, or create derivative works of the Services; (c) reverse engineer, decompile, or attempt to access source code except as permitted by law; (d) remove proprietary notices; or (e) resell, sublicense, or transfer any part of the Services. All right, title, and interest in the Services, including all intellectual property, remain with Pingo and its licensors. We may revoke this license at any time if you breach these Terms.
4. Account and Eligibility
4.1 Eligibility
To create an account and play, you must, at the time of use, represent and warrant that you:
- are at least 18 years of age (we ask you to confirm this at registration and enforce it at the account level);
- are a resident of the United States; and
- are not barred from using the Services under these Terms or applicable law.
4.2 One Account Per Person
Each User may open and control only one account. You may not open, own, control, or use more than one account, use another person's account, or allow another person to use yours. Creating or using multiple accounts to abuse the Services, evade limits or suspensions, or manipulate results ("Multi-Accounting") is a violation of these Terms. If we determine in our reasonable discretion that Multi-Accounting has occurred, we may suspend or terminate any or all associated accounts, void affected results, and remove any trophies or medals earned through the conduct.
4.3 Accurate Account Information
You agree to provide true, current, and complete information — in particular your email address — and to keep it accurate. We rely on it to reach you about your account. We are not responsible for consequences arising from information that is out of date or incorrect.
4.4 Account Security
You are responsible for keeping your login credentials confidential and for all activity under your account. Use a strong, unique password. Notify us immediately at support@playpingo.com if you suspect unauthorized access. We are not liable for losses arising from your failure to safeguard your account, and we may require a password reset if we believe your credentials have been compromised.
5. How Pingo Works
Pingo is a free game. In each daily board you:
- Pick your tiles. You make a series of choices about how real-world athletes will perform, using your knowledge of the games, players, and matchups;
- Build your board. You arrange your chosen tiles on a 4×4 grid. Where you place each tile affects which lines you can complete; and
- Complete lines ("Pingos"). You manage your board to complete as many lines as possible as the real games play out.
Results are determined by objective, pre-published scoring criteria applied to the real-world performance of the athletes you chose, measured by how well you select and arrange your board relative to other players. The Services are for entertainment only, and you agree to use them only as intended. Scoring is governed by the Rules and based on official statistics received from our third-party data providers. Any live scores shown are unofficial and for convenience only. Pingo is the final authority on scoring and results, and its determinations are binding. We may cancel, void, or suspend any board or result in our reasonable discretion, including to protect the integrity, fairness, or security of the Services, or in the event of a technical malfunction, error, or suspected abuse.
6. Trophies and Medals
Players earn trophies and medals based on how they finish. Trophies and medals are status recognition only. They:
- have no cash value;
- cannot be redeemed, exchanged, sold, or converted into money, credit, merchandise, or anything else of value;
- are non-transferable and remain associated with your account; and
- may be adjusted, recalculated, or removed if awarded in error or in connection with a violation of these Terms.
There is no cost to play, nothing of monetary value to win, and no payment of any kind between you and Pingo. Nothing in the Services is, or is intended to be, a thing of value that can be redeemed for or converted into money.
7. Prohibited Conduct
You agree not to: use the Services for any unlawful or unauthorized purpose; engage in Multi-Accounting; collude with other players; use bots, scripts, scrapers, or other automated means to access the Services or build boards, except as we expressly authorize; tamper with or interfere with the Services, their security, or their proper operation; introduce malicious code; harvest or misuse other Users' information; impersonate any person or misrepresent your identity; or otherwise abuse the Services. We may investigate suspected violations, void results, remove trophies or medals, suspend or terminate accounts, and cooperate with or refer matters to law enforcement.
8. Intellectual Property and User Content
The Pingo name, logo, mascot, and all Services content are owned by Pingo or its licensors and are protected by intellectual property laws. No rights are granted except the limited license in Section 3. We do not solicit unsolicited ideas; if you submit one, you agree Pingo may use it without restriction or compensation.
If the Services let you post content ("User Content"), you are solely responsible for it and represent that you have the rights to post it. You grant Pingo a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content in connection with operating and promoting the Services. We may remove User Content at our discretion. We respond to valid notices of copyright infringement under the DMCA; send notices to our designated agent: Pingo Entertainment, Inc — DMCA Agent, 131 Continental Drive, Suite 305, Newark, DE 19713, or by email to dmca@playpingo.com.
9. Publicity
You agree that Pingo may use your username to celebrate and display results within the Services (for example, on leaderboards and in trophy displays). With your consent where required by law, Pingo may use your username and statements for promotional purposes in any medium, without additional compensation, except where prohibited by law.
10. Privacy
Your use of the Services is subject to our Privacy Policy, which describes the limited information we collect, how we use it, and how we share it.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PINGO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION (INCLUDING STATISTICS AND SCORING) WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PINGO AND ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. BECAUSE THE SERVICES ARE PROVIDED TO YOU FREE OF CHARGE, PINGO'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU HAVE PAID PINGO TO USE THE SERVICES, WHICH IS NONE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Pingo and its affiliates and their personnel from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right. We may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate.
14. Dispute Resolution; Arbitration; Class Action Waiver
14.1 Informal Resolution
Before starting an arbitration, you and Pingo agree to try to resolve any dispute informally. You must first send a written description of the dispute to support@playpingo.com within the time allowed by Section 16, and the parties agree to confer in good faith for at least 30 days. This step is a precondition to arbitration. The applicable limitations period is tolled while the parties engage in this process.
14.2 Binding Arbitration
If the dispute is not resolved within 30 days of the informal-resolution request, either party may initiate binding, individual arbitration. Arbitration will be administered by JAMS under its rules then in effect and governed by the Federal Arbitration Act. The arbitrator decides all issues, including the scope and enforceability of this Section. Either party may instead bring an individual claim in small claims court if it qualifies. Claims for intellectual-property infringement and requests for injunctive relief are excepted from arbitration.
14.3 Class Action and Jury Trial Waiver
ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU AND PINGO WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims.
14.4 30-Day Right to Opt Out
You may opt out of this arbitration agreement and class-action waiver by sending written notice to support@playpingo.com within 30 days of first accepting these Terms. The notice must include your name, the date you first used the Services, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
14.5 Severability
If any portion of this Section (other than the class-action waiver in 14.3) is found unenforceable, that portion will be severed and the rest will remain in effect. Nothing in this Section waives any right to seek public injunctive relief that cannot lawfully be waived; any such claim will be severed and may be brought in a court of competent jurisdiction.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to Section 14, any action that may be brought in court must be filed exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
16. Limitation on Time to File Claims
Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arises, or it is permanently barred, except where a longer period is required by applicable law.
17. Modification and Discontinuation of the Services
Pingo may, at any time and in its sole discretion, change, suspend, limit, or discontinue the Services or any part of them (including any game, board, feature, trophy, or medal), with or without notice. We may also change the nature of the Services or transition to a different product offering. We will not be liable to you or any third party for any such change, suspension, limitation, or discontinuation. Because trophies and medals have no cash value and are not property, no compensation is owed on any change to or discontinuation of the Services.
18. General
Assignment. You may not assign these Terms; Pingo may. Severability. If any provision is unenforceable, the rest remains in effect. No waiver. Our failure to enforce a provision is not a waiver. Force majeure. We are not liable for failures caused by events beyond our reasonable control. No third-party beneficiaries. Except as expressly stated, there are none. Entire agreement. These Terms, the Privacy Policy, and the Rules are the entire agreement between you and Pingo regarding the Services and supersede prior agreements. Notices. We may give notice through the Services or to your account email.
